Federal RICO Civil Lawsuit (Florida, January 2025)

On January 3, 2025, a civil RICO complaint was filed against Deel in the U.S. District Court for the Southern District of Florida (Damian v. Deel Inc., et al., Case No. 1:25-cv-20017). The complaint was brought by Melanie Damian, a court-appointed receiver in connection with a 2023 SEC enforcement action against Brent Seaman and Surge Capital Ventures, who were found by the SEC to have run a $35 million Ponzi scheme targeting members of a Naples, Florida church.

The complaint alleges that Deel processed payments for Surge Capital and, in doing so, failed to comply with federal anti-money-laundering and know-your-customer requirements under the Bank Secrecy Act; operated as an unlicensed money transmission business through its Florida subsidiary, DPayments; and partnered with a sanctioned Russian bank in alleged violation of OFAC sanctions.

Deel’s response. Deel filed a motion to dismiss the complaint and stated, in writing, that it has “never been named or accused by the SEC or any other agency of any wrongdoing in any way related to Surge Trading,” and that it operates in the U.S. “through licensed and regulated partners and leading industry payment service providers, adhering to both state and federal laws.” (Source: Inc., “Payroll Startup Deel Files to Dismiss ‘Baseless’ RICO Suit,” March 24, 2025; Floridian Press, January 15, 2025.)

As of August 2025, the lawsuit against Deel was dismissed.

Rippling v. Deel: Corporate Espionage Civil Lawsuit (March 2025; amended June 2025)

In March 2025, Rippling filed a civil suit against Deel in the U.S. District Court for the Northern District of California, alleging that Deel directed a corporate espionage operation involving a Rippling employee in Dublin, Keith O’Brien, who was allegedly induced to access internal Rippling Slack channels and pass information to Deel. (Source: Fast Company, “What the Rippling vs. Deel Lawsuit Reveals About Corporate Espionage in Tech,” March 21, 2025.)

In June 2025, Rippling filed an amended complaint adding Deel CEO Alex Bouaziz and Deel CFO Philippe Bouaziz as alleged architects of what the complaint terms a “racketeering enterprise” targeting at least four EOR competitors. (Sources: Axios, “Deel and Rippling’s Espionage Fight Keeps Escalating,” June 6, 2025; Calcalistech, “Rippling Alleges Deel CEO Led Corporate Espionage Ring Targeting Competitors,” June 6, 2025.)

In November 2025, Rippling stated in a public blog post that unsealed court documents showed Deel funded payments to O’Brien and recorded those payments as corporate expenses. (Source: PYMNTS, “Justice Department Investigates Allegations That Deel Recruited Spy at Rival Firm Rippling,” January 30, 2026.)

Deel’s response. Deel has denied all allegations of wrongdoing in this litigation. A Deel spokesperson stated that Rippling’s amended complaint “fails to correct any of the myriad fatal flaws in its original complaint.” Deel countersued Rippling in April 2025, alleging that Rippling embedded a fake customer in Deel’s platform to access proprietary information. (Sources: Calcalistech, June 6, 2025; Axios, June 6, 2025.)

Subsequent ruling. In March 2026, Ireland’s High Court (Justice Mark Sanfey) set aside the joining of Alex Bouaziz, Andrea David Mieli, and Asif Malik as personal defendants in the related Irish proceedings. (Source: Irish Times, “Deel Executives Can Be Removed as Defendants in Espionage Case Brought by Rival Rippling,” March 20, 2026.)

Reported DOJ Inquiry (January 2026)

In January 2026, The Wall Street Journal reported that the U.S. Attorney for the Northern District of California, Craig Missakian, had issued grand jury subpoenas in connection with allegations relating to Rippling’s espionage claims against Deel.

Deel’s response. A Deel spokesperson stated: “We are not aware of any criminal investigation. We will always cooperate with the relevant authorities and provide any necessary information in response to valid inquiries.” (Source: Calcalistech, January 23, 2026.)

Context. A grand jury subpoena is an investigative tool. It is not a finding, indictment, or charge. As of the date of the most recent reporting cited above, no charges have been filed against Deel.

Worker Classification: California State Senate Inquiry (July 2023)

In July 2023, California State Senator Steve Padilla (D-San Diego) sent a letter to California Secretary of Labor Stewart Knox requesting that the Labor and Workforce Development Agency investigate Deel’s classification of certain workers as independent contractors. The letter cited a Business Insiderinvestigation.

Deel’s response. A Deel spokesperson stated that the allegations were “completely made up and regurgitated from old news, most likely based on competitor hearsay,” and said that contractors represent less than 1% of Deel’s U.S. workforce. The company further stated that “to advise clients on how to misclassify their workers would be at complete odds with our business model.” (Source: TechCrunch, July 7, 2023.)

Leadership Changes During 2025

Multiple outlets have reported that during 2025, Deel announced new appointments in compliance and finance leadership, including a new chief financial officer and president, general counsel, chief compliance officer, and chief risk officer. (Source: Calcalistech, January 23, 2026.)

Deel has publicly described these moves as part of broader scaling and IPO-readiness preparation.
